Economics | Tactics employed by a company resisting an unwanted takeover usually involving an issue of securities designed to make the takeover candidate considerably less attractive to the bidder should the bid succeed. The securities issued normally have a conversion option triggered if the bid succeeds allowing the bidders shares to be purchased at a reduced rate or a value including the acquisition premium.
